Referral Programme Terms

1. What this programme is

You act as an introducer. You may introduce companies that may wish to buy Power a Life merchandise. We quote, contract, fulfil and invoice the client. You do not sell as our agent, distributor or employee, and you must not represent yourself as authorised to bind Power a Life or negotiate prices on our behalf.

2. Membership and acceptance

Invitation alone does not activate membership. You become a Referral Member only when you:

• set (or confirm) access to the Referral Portal; and
• accept these Referral Programme Terms (this version) in the Portal.

We may decline, suspend or end membership at our discretion if you breach these terms or if continuing would harm our brand, clients or impact partners.

3. Your personal link and attribution

We issue you a personal intro link (for example /r/yourcode). Enquiries that complete our contact form after using your active link, or that you log in the Portal and we accept, are attributed to you. Attribution is at our reasonable determination. We are not obliged to pay commission where:

• the company was already an active prospect or client of ours;
• another introducer or partner already owns the opportunity;
• the enquiry cannot be verified, is fraudulent, or is self-referred;
• you introduced the company after membership was suspended or ended.

4. Commission

Unless we confirm otherwise in writing for your account:

• Rate: 8% of the first paid order net (ex VAT / sales tax) for each newly attributed company.
• Basis: Net merchandise / project value we actually receive for that first order, excluding freight pass-throughs, duties we collect as agent, and cancelled or refunded amounts.
• Trigger: Commission becomes due only after the client has paid us for that first order.
• Reorders: No commission on subsequent orders from the same company unless we agree otherwise in writing.

5. How we pay you

• You must invoice Sustainable Development Enterprises Ltd for the agreed commission amount.
• We pay by bank transfer within 30 days of receiving a valid invoice after commission is due (client paid).
• You are responsible for your own tax, VAT registration (if applicable), and self-employed / company status. We do not deduct PAYE or treat you as an employee.
• We may offset amounts you owe us, or withhold payment while a dispute or chargeback is unresolved.

6. Conduct and brand use

• Use only the current brochure, price guide and materials we provide in the Portal.
• Do not alter our logos, impact claims, or pricing beyond the indicative guides we publish for sharing.
• Do not spam, mis-sell, guarantee outcomes we have not confirmed, or claim impact figures beyond our published programme monitoring.
• Tell prospects clearly that Power a Life will quote and fulfil; you are making an introduction.
• Keep client and prospect information confidential and use it only for introductions to us.

7. No exclusivity; non-circumvention

The programme is non-exclusive. You will not solicit our staff or ground partners to divert attributed opportunities away from Power a Life. For twelve (12) months after an introduction is attributed, you will not encourage that company to buy equivalent impact merchandise from a competitor by using confidential pricing or materials obtained through this programme.

8. Relationship of the parties

Nothing in these terms creates a partnership, joint venture, employment or agency. You have no authority to accept orders, issue quotes, or collect payment for us.

9. Liability

We provide Portal access and materials “as is”. To the fullest extent permitted by law, we are not liable for indirect or consequential loss, or for loss of anticipated commission where a prospect does not order. Our aggregate liability under these terms for any claim is limited to the commission actually paid to you in the preceding twelve months (or £100 if none).

10. Data protection

We process your membership data (name, email, company, link activity, leads you submit, acceptance records) to run the programme. See our Privacy Policy. When you submit a prospect’s details, you confirm you have a lawful basis to share them with us for a sales introduction.

11. Changes and ending membership

We may update these terms by publishing a new version and asking you to re-accept in the Portal before you continue. Either party may end membership on written notice. Ending membership does not cancel commission already due for paid first orders attributed while you were an active member, subject to these terms.

12. Governing law

These terms are governed by the laws of Scotland. The courts of Scotland have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction to protect our brand or confidential information.
